1. Acceptance of Terms:
By engaging in any business relationship or using services provided by WEBBEEZ, you agree to the terms and conditions outlined below. This agreement constitutes a legally binding contract between you ("Client") and WEBBEEZ.
2. Services:
WEBBEEZ agrees to provide software development services as per the mutually agreed-upon project scope. This scope includes deliverables, milestones, timelines, and costs. Any changes or deviations to the scope must be approved by both parties in writing.
3. Payment:
Client agrees to pay the fees specified in the project agreement or invoice, following the payment schedule outlined therein. A deposit may be required before work commences. Failure to make timely payments may result in project delays or suspension.
4. Intellectual Property:
All intellectual property, including but not limited to code, designs, documents, and other project-related materials, will be owned by the Client upon full payment. WEBBEEZ retains the right to showcase the work as part of its portfolio.
5. Confidentiality:
Both parties agree to maintain strict confidentiality regarding any proprietary or sensitive information shared during the project. This includes technical details, business strategies, and personal information.
6. Project Delays:
Project timelines are contingent upon Client cooperation, timely feedback, and provision of required resources. Delays caused by the Client, changes in requirements, or external factors are not the responsibility of WEBBEEZ and may result in revised timelines.
7. Warranty:
WEBBEEZ provides a limited warranty period for software developed. This warranty covers any defects in the work completed by WEBBEEZ during the specified time frame. Any issues arising from changes made by the Client or third parties are excluded from this warranty.
8. Limitation of Liability:
WEBBEEZ shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the software or services provided. The total liability of WEBBEEZ shall not exceed the amount paid by the Client.
9. Termination:
Either party has the right to terminate the project or agreement in the event of a material breach by the other party. Termination shall not relieve the Client's obligation to pay for services rendered up to that point.
10. Governing Law:
These terms and conditions are governed by the laws of the jurisdiction specified in the project agreement. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
11. Amendments:
WEBBEEZ reserves the right to modify or amend these terms and conditions at any time. Updated terms will be posted on the WEBBEEZ website and will apply to all ongoing and future projects.
12. Entire Agreement:
This document constitutes the entire agreement between the parties and supersedes any prior discussions or agreements, whether written or oral.
